After engaging in amicable discussions, FAW Group, Toyota Motor, and GAC Group have agreed to set up a new tripartite strategic cooperation framework aimed at fostering the enduring and robust growth of their joint venture enterprises.
On October 8, China FAW Group Co., Ltd. (hereinafter referred to as 'FAW Group'), Toyota Motor Corporation (hereinafter referred to as 'Toyota Motor'), and Guangzhou Automobile Group Co., Ltd. (hereinafter referred to as 'GAC Group') convened a signing ceremony in Guangzhou to formalize a new strategic cooperation framework agreement.

According to the announcement, GAC Group intends to acquire a 50% stake in FAW Toyota Motor Co., Ltd. (hereinafter referred to as 'FAW Toyota') currently held by FAW Group, through the issuance of shares. Upon completion of the transaction, FAW Toyota will persist in its operations as an independent entity, and FAW Group will emerge as a significant strategic shareholder of GAC Group. In the subsequent phase, FAW Toyota and GAC Toyota Motor Co., Ltd. (hereinafter referred to as 'GAC Toyota') will collaborate on functions such as R&D, procurement, production, and sales for the joint ventures. This partnership not only represents a pivotal aspect of deepening cooperation between FAW Group and GAC Group but will also further solidify the enduring cooperative ties among FAW Group, Toyota Motor, and GAC Group.
Joining Forces to Usher in a New Era for Joint Venture Development
Previously, FAW Group and Guangzhou Automobile Industry Group Co., Ltd. (hereinafter referred to as 'GAC Industrial') inked a strategic cooperation framework agreement. Subsequently, both entities will leverage asset and capital connections, propelled by technological innovation, to progressively deepen and broaden the scope of their cooperation, facilitate efficient cross-regional collaboration of industrial resources, and collectively fortify their operational foundations while enhancing corporate value. Against this backdrop, FAW Group, Toyota Motor, and GAC Group, through amicable consultations, have resolved to establish a new tripartite strategic cooperation framework to propel the sustained and healthy development of their joint venture enterprises.
Under the new cooperation framework, FAW Group, Toyota Motor, and GAC Group will jointly bolster FAW Toyota and GAC Toyota in fostering mutual advancement and continually augmenting their competitiveness. It is understood that following the transaction's completion, the equity-level linkage will enable FAW Group, Toyota Motor, and GAC Group to forge a profound community of interests, achieving a novel paradigm of 'independent operations for each party and comprehensive collaborative empowerment.' On one hand, FAW Group will harness its resources as a central state-owned enterprise, its market presence in northern China, and its vehicle manufacturing expertise to furnish industrial resources and strategic empowerment to the dual-Toyota system. On the other hand, GAC Group will capitalize on its advantages in the southern market, its experience in new energy transformation, and its localized innovation capabilities to aid the joint venture segment in accelerating its intelligence and electrification upgrades. Toyota Motor will persist in contributing its global core technologies and quality standards.
Liu Yigong, General Manager of FAW Group, remarked that the signing of the new strategic cooperation framework agreement among FAW Group, Toyota Motor, and GAC Group signifies a crucial exploration in alignment with the national mandates for the integration, upgrading, and high-quality development of the automotive industry. The three entities each possess distinct strengths, particularly FAW Group and GAC Group, which complement each other in terms of location, resources, and capabilities, laying a solid foundation for this tripartite cooperation. Moving forward, the three parties will employ capital as a conduit to actively engage in comprehensive and in-depth strategic cooperation in domains such as new energy transformation, joint venture collaboration, technological research, and industrial chain synergy, jointly forging a new cooperation paradigm of 'central state-owned enterprise + local state-owned enterprise + international automaker.'
'Today's tripartite strategic cooperation transcends mere scale superposition; it aims to foster complementary capabilities, enhance efficiency, and construct a shared ecosystem while respecting each party's governance mechanisms, maintaining independent brand operations, and ensuring stable market operations,' stated Feng Xingya, Chairman of GAC Group. He underscored that this cooperation holds significant and far-reaching implications, as it deepens central-local collaboration, achieves efficient resource allocation, consolidates and elevates Toyota's competitive stance in the Chinese market, and spearheads the high-quality development of the automotive industry through robust alliances. Under the new framework, GAC Group will intensify collaboration between northern and southern Toyota, elevate the quality and efficiency of joint venture cooperation, strengthen the integration of central and local resources, construct a mutually beneficial and symbiotic pattern, solidify the foundation for high-quality development, and foster the growth and strengthening of Guangzhou's automotive industry.
This collaboration transcends being a mere major strategic partnership between Chinese and foreign automakers; more crucially, the three parties have constructed a novel industrial cooperation ecosystem characterized by 'Chinese-foreign integration, central-local linkage, and north-south collaboration.' It offers a fresh solution, distinct from traditional models, for domestic automotive state-owned enterprise reforms and Chinese-foreign automaker cooperation, steering the industry toward a new trend of high-quality open cooperation.
Toyota Poised to Embark on a New Chapter in China
Since FAW Group and Toyota Motor forged a comprehensive strategic cooperation agreement in 2002 and GAC Group and Toyota Motor established a joint venture in 2004, FAW Group, Toyota Motor, and GAC Group have collaborated through FAW Toyota and GAC Toyota in areas such as R&D, production, sales, and service. Presently, the two joint ventures boast a cumulative total of over 23.56 million users in the Chinese market.
In today's fiercely competitive Chinese automotive market, Toyota Motor has achieved remarkable feats in 2025. According to data unveiled by Toyota Motor Group, its global sales surged to 11.322 million units in 2025, marking a year-on-year increase of 4.6%. Not only did it clinch the global automotive sales championship for the sixth consecutive year, but it also set a new record for global annual automotive sales. In the Chinese market, Toyota's sales in 2025 reached 1.7804 million units, a year-on-year increase of 0.2%, making it the sole Japanese brand in China to sustain sales growth.
Through this partnership, Toyota Motor in China is poised to usher in a new era of 'north-south' collaborative development.
With FAW Toyota and GAC Toyota attaining collaborative operational management and further enhancing the efficiency of resource allocation, not only can innovation costs be effectively shared and key core technologies be concentrated for breakthroughs, thereby comprehensively boosting the overall competitiveness of all parties, but it is also anticipated to directly augment GAC's investment returns and elevate net profits. Additionally, leveraging the scale advantages formed post-transaction will further amplify GAC's industry voice and influence in supply chain bargaining, terminal channel layout, and industrial policy alignment, aiding GAC in expediting its efforts to construct a globally competitive automotive group, enabling Chinese automobiles to truly 'ascend' and achieve transformation from large to strong.
Kenta Kon, President of Toyota Motor, expressed confidence in the future trajectory of Toyota's joint venture enterprises in China under the strategic cooperation framework between FAW Group and GAC Group. He believes that with the profound integration of emerging industries exemplified by artificial intelligence and further advancements in technological innovation, China will inevitably nurture a new paradigm of the 'mobile travel industry,' propelling the global automotive industry forward. Toyota will also spare no effort to bring gratifying smiles to Chinese customers and contribute its due share to China's economic and social prosperity.
From a broader vantage point, amid the rapid transformation of China's automotive industry, numerous joint venture brands are confronting challenges and urgently seeking new growth avenues and market breakthroughs. The strategic collaboration between FAW Group and GAC Group on Toyota's joint venture enterprises significantly elevates the overall operational efficiency of the joint venture segment, not only bolstering the confidence of foreign investment partners in the long-term development of the Chinese market but also offering reference and inspiration for the further advancement of other joint venture brands in China.
Cultivating Globally Competitive Key Enterprises
The '15th Five-Year Plan' period represents a pivotal juncture for China's transition from an automotive powerhouse to an automotive great nation. The '15th Five-Year Plan for the Development of the Intelligent Connected New Energy Vehicle Industry' explicitly proposes to intensify the consolidation, acquisitions, and cross-regional integration of automotive enterprises in accordance with legal frameworks, strengthen capacity warnings and regulation, facilitate the orderly exit of outdated and inefficient production capacities, and nurture several complete vehicle enterprises ascending to the top ten global sales rankings. Further enhancing industrial concentration and cultivating globally competitive key enterprises is the inevitable trajectory to construct a robust industrial ecosystem and achieve high-quality development.
The strategic cooperation among FAW Group, Toyota Motor, and GAC Group precisely aligns with the national '15th Five-Year Plan' for the automotive industry and the deepening mandates of state-owned enterprise reforms. It embodies a significant practice in promoting strategic cooperation among large automotive groups through market-oriented and law-based approaches, effectively facilitating the transition of automotive resources from a dispersed layout to systematic and intensive collaborative development, and consolidating the foundation for high-quality development of the automotive industry.
Particularly for GAC Group, as per the agreement, by acquiring a 50% stake in FAW Toyota held by FAW Group through the issuance of shares, GAC Group will emerge as the common Chinese shareholder of the two joint ventures, FAW Toyota and GAC Toyota. This signifies more than just a short-term financial impact of an asset acquisition; it heralds GAC's transition from a 'single vehicle manufacturing enterprise' to a 'central-local collaborative industrial platform.' Its valuation logic will shift from the traditional 'sales-profit' two-dimensional framework of automakers to a multi-dimensional valuation system encompassing 'profit foundation + collaborative value + ecological value + global growth,' with its valuation center anticipated to undergo systematic repair and reconstruction.
Following the implementation of this strategic cooperation, GAC's value dimensions are expected to expand comprehensively. Stable joint venture enterprises will solidify the company's core profit foundation, the resource integration dividends stemming from the collaboration between northern and southern Toyota will unleash long-term collaborative value, central-local state-owned asset linkages will empower the company with policy and industrial ecological value, and profound Chinese-foreign technological cooperation will aid the company in seizing global automotive industry upgrade opportunities and unlocking space for global growth.
From a longer-term perspective, the cooperation between FAW Group and GAC Group not only responds to the strategic imperatives of the '15th Five-Year Plan' to enhance industrial concentration and cultivate world-class vehicle enterprises but also furnishes a replicable and referenceable model for cross-regional resource integration. In the latter half of electrification and intelligence, a cohort of internationally influential Chinese automotive enterprises are accelerating their growth and expansion.
