Intensifying Investment in Advanced Coating Equipment: Landun Optoelectronics Aims to Secure Majority Stake in Lanchuang Technology

Recently, Landun Optoelectronics unveiled a restructuring initiative, outlining plans to acquire a controlling interest in Suzhou Lanchuang Technology Co., Ltd. This will be achieved through a combination of share issuance and cash payment, along with raising matching funds. The shares will be issued at a price of 14.50 yuan each. This transaction is anticipated to constitute a significant asset restructuring and a related-party deal, yet it will not lead to a backdoor listing, and the company's actual controller will remain the same.

Established in 2022, Lanchuang Technology is a specialist in high-performance vacuum coating equipment, with a particular emphasis on precision optical thin-film deposition. Its product range spans areas such as optical communications and industrial lasers. The company stands out as one of the few equipment manufacturers in China to have achieved commercial mass production in the ultra-narrowband thin-film filter sector. It has developed a suite of high-precision magnetron sputtering coating equipment and is also in the process of deploying equipment for ion beam sputtering and atomic layer deposition.

Financial figures reveal that Lanchuang Technology reported revenues of 12.27 million yuan and incurred a loss of 3.03 million yuan in 2024. In 2025, the company's revenue surged to 33.56 million yuan, with a net profit of 11.28 million yuan. In the first half of 2026, revenue reached 171 million yuan, accompanied by a net profit of 102 million yuan, indicating a trajectory of rapid growth.

Landun Optoelectronics stated that this acquisition will empower the company to autonomously control high-end coating equipment, diminish reliance on imported core optical components, and expand into the upstream segment of the industrial chain. However, it is important to note that the target company's financial data has not undergone an audit, and key terms such as the transaction price and performance compensation have yet to be finalized. The deal is still subject to approval from the board of directors, shareholders' meeting, and regulatory authorities, posing a risk of termination. Meanwhile, Landun Optoelectronics' main business is facing challenges, with revenue declining by 34.5% and a net loss of 88.77 million yuan recorded in 2025, followed by continued losses in the first quarter of 2026. The success of the integration remains to be assessed.
