Recently, Ever Smart Eyewear issued a profit warning, projecting a net loss of approximately HK$12.1 million for the six months ending June 30, 2026, significantly widening from the loss of approximately HK$4.7 million recorded in the same period of 2025.

According to the company announcement, the widening loss primarily stems from a decline in gross profit margins for eyewear products. The board pointed out that intense market competition during the reporting period, coupled with upward pressure on production costs due to the appreciation of the RMB, led to a decline in the average selling price of eyewear products. Despite the company's ongoing cost-saving measures, it was unable to fully offset the impact of these adverse factors on gross profit margins.

Notably, prior to the profit warning, Ever Smart Eyewear experienced significant changes at the major shareholder level in late July. The company's major shareholder, Top Elite Holdings, entered into a sale and purchase agreement on July 24 to transfer a total of approximately 148 million company shares, representing approximately 29.59% of the issued share capital, to an independent third party. The transaction was recently completed, and Top Elite no longer holds any stake in the company.

According to the equity disclosure by the Hong Kong Stock Exchange, the acquirer, Myolie Wu, acquired the aforementioned shares at a price of HK$0.35 per share, involving over HK$51.78 million, making her the single largest shareholder of the company. The board emphasized that the share transfer will not adversely affect the operations of the existing eyewear business, which will continue to serve as the core business of the group. Meanwhile, the company will explore potential opportunities for diversifying its business and revenue sources.
